PRACTICE AREAS
Miura & Partners US (M&P US ) represents multinational and U.S. corporations, with particular expertise and experience providing strategic legal advice to Japanese corporations and their U.S. subsidiaries and spin-offs on cross-border corporate, M&A, technology and commercial transactions, international taxation, and employment law matters.
Corporate Law
Miura & Partners US provides vital, strategic corporate legal and business counsel to multinational and U.S. companies at all stages of their growth and development. We advise on U.S. and international transactions, but are best known for handling complex Japan-U.S. cross-border corporate transactions that require our particular expertise to efficiently and effectively negotiate and execute. A deep understanding of the Japanese and U.S. legal systems, business practices, languages, and cultural differences enables us to craft pragmatic legal advice with many audiences in mind, including our clients’ U.S. subsidiaries and Japanese headquarters, as well as potential strategic partners or opposing parties.
M&A / Strategic Alliances
One of the key areas in which Miura & Partners US clients rely on our special expertise is mergers and acquisitions. As our clients seek to grow their businesses, they typically consider many alternatives, including acquisitions, mergers, joint ventures, and strategic alliances. We help them evaluate M&A opportunities, identify risks, perform due diligence, provide tax analysis, negotiate terms, and close deals in a timely, cost-effective manner. Our M&A clients are frequently long-term corporate clients, so we have a clear understanding of their business objectives and can help them determine how certain acquisitions, alliances, or dispositions may affect their future growth.
Licensing and Commercial Transactions
Miura & Partners US advises multinational technology and media companies on strategies and best practices to leverage and protect their vital intellectual property assets. We have particular expertise advising publicly and privately held Japanese corporations and their U.S. subsidiaries on cross-border licensing transactions, representing clients who seek to expand and protect their brands globally. Most of our technology and media licensing clients are also our long-time corporate clients, so we know their businesses, understand the IP critical to their organizations, and can help them determine how to successfully develop and protect their assets.
International Taxation
Miura & Partners US has a highly specialized international taxation practice. We have a tax lawyer with a Master of Laws (LL.M.) in taxation and a CPA who has practiced at Big Four accounting firms in Japan and the United States. Together, they have developed a particular expertise advising multinational corporations and their U.S. subsidiaries on U.S. and California tax planning and on tax issues in complex, cross-border transactions.
Employment Law
In the current climate, it is critical for employers to understand their responsibilities and potential liabilities with respect to employment law matters. To best serve our multinational corporate clients, Miura & Partners US has developed a strong employment law counseling practice. We have particular expertise advising Japanese employers and their U.S. subsidiaries on U.S. and California employment law matters. Members of our bilingual legal team have worked in Japan and the United States, so we have a clear understanding of Japanese, U.S., and California employment laws and cultural differences and can interpret U.S. and California employment laws and practices in a meaningful way to our clients.
Trademarks and Copyrights
Branding your business and protecting your intellectual property in your merchandise, such as unique product names, logos, and textbooks, are important for the success of your business.
A trademark is a word, phrase, symbol or design, or a combination thereof that identifies and distinguishes the source of the goods of one party from those of others. A service mark is the same as a trademark, except that it identifies and distinguishes the source of a service rather than a product. Without appropriate protection for your trademark or service mark, you may be forced to rebrand your product or service, costing more than the expenses you might have needed to take measures to protect your mark, or you may face difficulties in enforcing your rights in your mark when your competitors use similar marks to yours.
Copyright protects original works of authorship fixed in a tangible medium of expression. Copyright registration with the United States Copyright Office in a timely manner is likely to provide you with strong legal protection as compared to delayed registration or no registration at all.
Our firm advises you on protecting your important marks and copyright and assists you throughout the necessary processes.
